These Terms of Sale ("Terms") apply to all commercial transactions between Shenzhen Hengan Intelligent Equipment Sales Co., Ltd. (operating under the brand "ShenzhenOPS", "Seller") and the purchaser ("Buyer"). Specific order terms confirmed in a purchase order or pro forma invoice take precedence over these general terms where they conflict.
All quotations are valid for 14 days from issue unless otherwise stated, subject to confirmation of stock availability and prevailing component pricing. Quotations are non-binding until the Buyer accepts in writing and the Seller acknowledges acceptance.
Prices are quoted in USD unless otherwise stated, exclusive of VAT, customs duties, and any taxes applicable in the Buyer's country. Pricing is FOB Shenzhen by default; CIF and DDP terms available on request. The Seller reserves the right to revise pricing if order specifications materially change after quotation.
Standard payment terms for new customers:
Letter of Credit at sight is available for orders above USD 50,000 from established customers. Custom terms (e.g. 30/60/10 with retention) may be negotiated for ongoing relationships.
Late payment beyond 30 days of due date may incur interest at 1.5% per month, and the Seller reserves the right to suspend further production until accounts are settled.
Standard lead times by product category:
Lead times are estimates based on current production schedules and may vary with component supply conditions. Material delays will be communicated in writing as soon as the Seller becomes aware.
Default shipping term is FOB Shenzhen. Risk of loss transfers to the Buyer when goods cross the ship's rail at the port of loading. CIF, CIP, and DDP terms are available on request with adjusted pricing.
The Buyer is responsible for import customs clearance, duties, and any in-country logistics under FOB terms.
The Seller performs standard pre-shipment QC and provides photo documentation of every order at no additional cost. Third-party inspections (SGS, BV, TÜV, or Buyer-nominated agencies) are supported; costs of third-party inspection are borne by the Buyer unless agreed otherwise.
SZO-branded products carry a 2-year standard warranty from date of shipment, covering manufacturing defects under normal commercial use. The warranty does not cover:
Extended 3-year warranty available for orders of 100+ units at additional cost. RMA returns: Buyer ships defective units to ShenzhenOPS Shenzhen warehouse at Buyer's expense; repaired/replaced units shipped back at Seller's expense.
Certifications (CE, FCC, RoHS, EAC) listed on product pages refer to current factory certifications. The Buyer is responsible for verifying that the certifications listed meet the regulatory requirements of the destination market and obtaining any additional local certifications required.
For OEM/ODM white-label production:
Standard SZO products and the ShenzhenOPS brand remain the property of Shenzhen Hengan Intelligent Equipment Sales Co., Ltd.
Orders may be cancelled or modified without penalty before production starts (i.e. before deposit clears and material procurement begins). After production starts:
Neither party shall be liable for delays or non-performance due to events beyond reasonable control, including but not limited to: natural disasters, government action, sanctions, war, port closures, semiconductor supply disruptions, or pandemics. Both parties shall communicate promptly and work in good faith to mitigate impact.
These Terms are governed by the laws of the People's Republic of China. Disputes shall first be addressed through good-faith negotiation; if unresolved within 60 days, disputes shall be submitted to the Shenzhen Court of International Arbitration. For Buyers in the EU, UK, and Switzerland, alternative jurisdiction may be agreed in writing per specific order.
These Terms may be updated. The current version is always available at this URL with a revised "Last updated" date. Material changes affecting active orders or customer agreements will be communicated by email and require explicit acceptance.
